First, a company can go dark if it has fewer than 300 shareholders. CHECK
Second, a company can also go dark if it has fewer than 500 shareholders and less than $10 million in assets in each of the past three years. CHECK
Going dark means that the company is no longer required to file public shareholder reports.
Going dark also means that a company voluntarily deregisters their shares under the Exchange Act. This means that the company’s stock can no longer be publicly traded.
This would relieve the company of the expense of filing reports with the SEC
Shareholders really get screwed
