The 1-for-30 reverse stock split will automatically convert 30 shares of the Company’s common stock into one new share of common stock. No fractional shares will be issued in connection with the reverse stock split. Stockholders of common stock otherwise entitled to a fractional share as a result of the reverse stock split will automatically be entitled to receive an additional fraction of a share of common stock to round up to the next whole share.
