predecessors, is or ever was a “shell company” as stated in Rules 405 of the Securities Act of 1933 and 12b-2 of the Exchange Act of 1934 and have concluded that the Issuer is not now a “shell company” but was a shell company in the past. The Company currently
does not meet the definition of a shell corporation, as defined by Rule 405 of the
Securities Act of 1933 and Rule 12b-2 of the Securities Exchange Act of 1934.
