On March 28, 2023, Lelantos Holdings, Inc. filed a civil lawsuit in the Supreme Court of the State of New York,
County of Erie, against 22nd Century Group, Inc and Golden Acquisition Sub, LLC. to recover the full asset valuation
of the CBG distillate that was destroyed by fire. The rights to the CBG distillate was assigned to the Company from
Sonder Fulfillment, LLC, an affiliated party. The 800 liters of CBG distillate holds an approximate asset valuation in
excess of $2,000,000.00 USD. The Company and Sonder Fulfillment, LLC have common officers and directors.
