I think $1.8MM in sales for a quarter would qualify as material to a company that has sales of less $1MM annually for the past several years.

Regulation FD prohibits a public company from selectively disclosing material nonpublic information about itself or its securities to certain persons outside the company, unless it also discloses the information to the public.
