Because you claimed he had not filed with all you claim he needs to file....



I guess he could always close on the property (full acquisition) and shut down operations without filing anything.

I would think Ross would do that first though, shut down operations, then sell. If he sold and allowed Tony to operate without proper approvals he would be on the hook, as would his partners. That would EXTREMELY serious.

If Tony fully acquired a shut down Lena, the inventory would need to be accounted for and can always be stored in an approved warehouse. Ross would have to handle that.

Seems like a lot of trouble though. Ross would want to make sure his licenses are considered inactive by I’ll ABC.

So to clarify, Tony could buy a completely shut down Lena Brewery without filing shit, like you say.

But he can’t purchase and simultaneously continue to operate without proper licenses, filings, and approvals.
