there can be a number of conclusions:

your two:

1) Offor does not own more than 5% of erhe shares

OR

2) Offor own more than 5% and is intentionally not complying with SEC regulations.

OR

3) Offor, as a Nigerian, was unaware that he was responsible for filing and expected ERHC to do so, but the gag plus financial considerations to defend against litigation caused ERHC not to file Offor's ownership. So Offor owns 5% and is UNintentionally not complying with SEC regulations

OR

4) the gag also covers 5% owners who are actively involved with the company...and so Offor, who might be considered to be actively involved, was also gagged with an unprecedented gag.

My opinion is Number 3
