you are right about RS/liquidity....thats another reason to not uplist to nasdaq etc atm...as for S1--- either the funder isnt planning on selling for quite a while and would become an affiliated party ...or they would simply buy 500k shares in the beginning and wait for it to move up enough to make good profit....or they would have an agreement that they can sell them (assuming piggyback rights) upon an uplist to a much higher exchange...or idk---ask mgmt to clarify
