That’s an interesting wrinkle. Technically he was just a “beneficial shareholder” before he took control and then became the company’s CEO. At this point he is the company and not some insider afterthought mentioned as a mandate in an annual report. I think you’re right, he does not have to report his 20 million shares cause it’s not 5%!
