Their shares are considered outstanding in order to calculate each party's stake including the stake that represents the publicly traded shares which equate to 7%. It says this explicitly in the 8k. If you just went with the OS in OTCM you would say public shareholders own 100% of shares which they don't.
The 13D filings only reiterate and confirm the equity from the CEO and CFO detailed in the 8k. The fact that the shares may or may not convert does NOT negate their equity and that is the point you seem to be missing.
