Dont really see the logic in screwing common shareholders unless the USG is certain that it really is worth it. Lots can happen in a transaction of this size.

You can repeat this a million times and it still won't make a bit of difference. The logic you cling to has been and is proven false by every public company that has filed bankruptcy, flushed its shareholders down the toilet, and then re-organized with a new stock offering. This is the real world and it also applies to GSEs.
