Experienced traders do their DD in advance. All traders should read all the filings in advance, especially the 8-K's, 10-q's and 10-K's. I go through all the filings and find all convertible debt in advance, and calculate how many shares could be converted for each note. I know the risk here is substantial.

I also know that a big franchise deal could settle all that convertible debt if it went through. These pink stock companies wouldn't stand a chance to get off the ground if there wasn't convertible debt.

Some CEO's simply aren't very good about managing it and no doubt some do outright lie. I've been burned plenty of times. That's why it's high risk/high reward in the OTC. You could try bonds or stocks with dividends if you want the safe route. Some of us prefer high risk! Good luck, in or out.
