The preferred share votes with majority of voters. If voters vote yes then his share votes proportionally yes. If voters vote no his share votes proportionally no. All it does is make sure a quorum is met for the RS.

by the holder, on any such proposal in the same proportion as shares of common stock are voted. The Preferred Stock otherwise has no voting rights except as otherwise required by the General Corporation Law of the State of Delaware.
