General,

Ya know that $3 million dollar "bonus" .... on $30 million loan (i.e. 10% =0) is even worse than that considering .....
- 10 basis point hit up front .... like paying points .... but worse ... because paid in stock ....
- is roughly 4%ish of the entire company depending on what baseline number you use for the calc. So we own a smaller portion of the company once the deal closes.
- and still remains to be seen what actual rate ECSL will be paying on the $30 million.
