If Lannett is not making good faith effort to continue with its sales effort that would be an "anticipatory breach", and Elite would be released from it's corresponding obligation not to compete. Lawyer Nasrat should be fully aware of the parties' continuing and mutual responsibilities and of the potential consequences of any breaches.
