Counsel is of the opinion the Issuer was previously a shell
company. As an alternative reporting issuer and pursuant to Rule 144, shell status will be considered cured twelve
months after the Issuer has filed Form 10 information with the SEC, provided the Issuer remains current in its SEC
filing obligations thereafter
