It’s called exchange “ratio” for shares and not price, and your math is just wrong.

“Exchange Ratio” means the “quotient” obtained by dividing by the MEOA Share Value.

“the quotient” obtained by dividing (i) the Equity Value by (ii) the aggregate number of Company Fully-Diluted Shares.

The quotient is .27 by your calculations.

0.27 x the total number of shares of the new company!
