In SEC terms, a Form 10 must be filed AND accepted by the SEC to become effective. You can "file" anything you want, but until it is deemed accepted and effective, the companmy is still just a non-reporting pink sheet company.

What I find interesting is they attempted to file a Form 10 over 18 months ago that was not accepted and they have not been able to do it since.
