APDN - Just a FYI for those still trading this ticker...

The filing from today for $6,000,000, is a S1-MEF, which enables APDN to increase an already filed S-1 registration (offering) statement by an additional 20%.

The completed S-1 was originally filed for $30,000,000 ($10,000,000 in common stock, $10,000,000 Series A warrants and $10,000,000 in Series B warrants) when the stock was trading at $.70 but has not been deemed "effective" yet by the SEC.

Once the S-1 has become effective, the final offering price determined "may be" higher than $.70, but definitely much lower than where it is trading at today...

The public offering price per share of common stock and/or any pre-funded warrant, together with the Series Warrant that accompanies common stock or a pre-funded warrant will be determined between us, the Placement Agent and the investors in this offering at the time of pricing, and may be at a discount to the current market price. Therefore, the recent market price of $0.70 per share of common stock used throughout this prospectus may not be indicative of the actual public offering price for our common stock, our pre-funded warrants and the Series Warrants. There is no established public trading market for the pre-funded warrants or Series Warrants, and we do not expect a market to develop. In addition, we do not intend to apply for the listing of the pre-funded warrants or Series Warrants on any national securities exchange. Without an active trading market, the liquidity of the Series Warrants and the pre-funded warrants will be limited.
