Leonite Capital currently operates as a Family Business according to special Rules/Regulations adopted by the SEC in 2011. It essentially allows a "family business" to NOT be subject to regulation under the Investment Advisers Act. To quote from the Summary of the SEC Rule linked below:

The Securities and Exchange Commission (the “Commission”) is adopting a rule to define “family offices” that will be excluded from the definition of an investment adviser under the Investment Advisers Act of 1940 (“Advisers Act”) and thus will not be subject to regulation under the Advisers Act.
