Keep in mind that the Board and the Officers must have the best interests of the shareholders at "heart". Their decision/recommendation to sell the company to a third party, or to move the company in a direction that does not benefit the bulk of the shareholders (but rather a small, select, closely held few), would never get SEC approval.

I don't believe the proposed scenario has any plausibility in the near (1 to 3 years) future.
