You can be an employee and have knowledge of negotiations. That is insider information, but does it lead to profiting from it without the world being aware. Companies are always in some way negotiating. If you buy shares and the negotiations fall through you’ve lost $$$. If you buy and make $$$ yes you benefit; however, the insider knowledge wasn’t a slam dunk so no crime. No different than politicians buying shares of Green Companies before a bill is passed, because the bill may not pass. So you have to look at what a prosecutor can pursue. I can’t lay it out any simpler. So I’m done commenting on this topic.
