Yep, gotta have enough room in the O/S to acquire PMR for what its owners believe it's worth. If PMR believes it is worth $400M at today's PPS, they'll need 2.5B shares to "buy" it.
While we await the filings giving the acquisition/merger agreement and the detailed audited financial reports (which should show the origin of the alleged $400M in accounts receivable) of PMR for the last 2 years, how about a throwback to when the CEO attempted to take control over IFLM:

Scroll down and read the stated intent. What was overlooked was the CEO of IFLM owned a control block of preferred shares, meaning he could outvote the common shareholders under any scenario....
