Looks like toxic convertibles, issued at steep discounts to the current share price.
These share will be immediately dumped, further putting pressure on the share price.

Petey needs to generate cash to pay his attorney's (unrelated to HPNN), so he needs to funnel cash from HPNN into his pockets at the non-subsidiary digitalage.
He has no other income or assets.
