Actually that is not correct. It is the opposite…most companies do have to. It is dependent on the State of Registration and the Articles of Incorporation…and most States require shareholder votes for AS increases.

Mullen is a Delaware Corporation and DCL REQUIRES a shareholder vote for increase to the AS.

So for those thinking that Michery is doing this out of the goodness of his heart…he actually has to do it this way.
