Item 7.01 Regulation FD Disclosure
On February 9, 2006 ViewCast.com, Inc. announced the exercise of over 90 percent of the company's outstanding public and public equivalent common stock purchase warrants that were set to expire effective Feb. 5, 2007. In return for exercising the warrants at $0.275 per share or $972,018 in total, the company will issue 3,534,610 shares of its common stock resulting in approximately 32,045,256 shares of its common stock outstanding.
The information disclosed under this Item 7.01, including Exhibit 99.1 hereto, shall not be deemed "filed" for purposes of Section 18 of the Securities Exchange Act of 1934, and shall not be deemed incorporated by reference into any filing made under the Securities Act of 1933, except as expressly set forth by specific reference in such filing.
