Not stupid at all. He just won't be a nasdaq stock anymore. Will still be traded but most likely as a pink, and he'll still have his shares.

Or RS 1/5 and hope it holds over $1 (most likely won't because he already lost a lot of support.

Or and most likely will happen is covert his shares into preferred so any action of the stock will not affect his shares. (RS will only hit the commons hard and not the preferred shares)
