And if the stated value of these shares is "$0.00", and the value of the shares goes up considerably by the time they are sold....does this mean their capital gains basis is "$0.00" and no one knows what their capital gains impact might be? Maybe other director and employees' tax situations precluded them from entering into this type of deal.

So many unanswered questions. So many. And the reason they're not answered is because no one here knows the answers - just guesses.
