FACT: M. Bigger sold shares and bought notes. Why would he do that? Think about it. If something huge was coming in, why would he get rid of shares and get notes instead…?!?

Pre-14A gave us the answer. Shares will not survive 1:1000 RS and AS raise. Notes will survive and will convert into new shares post RS/AS raise just fine. This is why he got rid of shares - to protect himself from coming dilution!
