The stock is not worthless until it is. Management sees shareholders willing to buy the stock and they are being awarded shares based on the current market price of the shares on the data the paycheck is due. Management didn't "buy" it, it was given to management is lieu of a cash paycheck. They have no restrictions so they can sell the shares anytime they want (after Form 4). Laugh all you want. But the company doesn't have the cash to meet the payroll and are paying management, the four highest paid employees, with shares.
