exactly. AS raise+RS = theft of shareholder money. Managers/CEOs that do this (huge RS + huge AS raise), wiping out any remaining stock value - should not be allowed anywhere near public companies ever again.

I understand the need to raise money to fund a growing business and i understand lower RS is sometime needed. But doing both at scale that guarantees a shareholder wipe out should be criminal!
