He’s not buying anything. The comosny is giving him those shares and he can sell 1/3 every year over three years. He doesn’t have to sell. If the stock goes to 10 cents at year one, he would / could sell 300,000 shares at 10 cents less the price the shares were issued at.

He can’t do anything the first 12 months
