SideChannel's website lists 26 individuals as their "leadership team", two of which are Brian and his wife, so let's say 24 employees. I cannot imagine many assets are included in the acquisition, so the employees and service contracts are the main part of the deal, this is what Cipherloc is going to issue ~120M shares to acquire. I just find myself wondering, how does a relatively new company with only a couple million in annual revenue afford so many high end salaries? With other expenses, there just isn't enough money to compensate 24 employees and still show a profit.

So exactly how many of these 24 "SideChannel Leadership" are actually under contract for full time employment? After the acquisition, how many full time dedicated SideChannel employees are still around? A brief review on their Linkedin pages and it appears roughly 12 of the 24 employees either own their own companies or have other full time employment, so I presume they would fall under part-time/freelance/contract work.

Yes, the acquisition is enticing with the prospect that Cipherloc will finally start showing revenue, but what is the true cost for a couple million in revenue and will Cipherloc's SHAREHOLDERS be better off for it?
