Looking at 148K outstanding shares at the end of Q1 per the filing. Jason awarded himself 108K shares at .01 in April...ridiculous. I guess the owners of the balance of the currently reported $776K won't be know until the Q2 filing comes out sometime in August of an 8K for the Centurion deal. He has already added nearly a $1 million in new debt for Q1.

They still haven't closed on the $3.4 million Centurion acquisition according to the Q1 but the mysterious appearance of hundreds of thousands of new shares suggests that is where they went. Maybe Centurion received their shares for .01 as well. Why this company doesn't get the interest from regulators is the real mystery.

Common Stock

As of March 31, 2022, the Company is authorized to issue 1,000,000,000 shares of common stock with a par value of $0.001. All shares have equal voting rights, are non-assessable, and have one vote per share. The total number of shares of Company common stock issued and outstanding as of March 31, 2022 and December 31, 2021, respectively, was 148,367 and 122,044 shares, respectively.


On January 19, 2022, the Company entered into an Asset Purchase Agreement with Centurion Holdings I, LLC (“Centurion”) to acquire the intellectual property rights and certain assets collectively known as Centurion SmartShield Home and SmartShield Enterprise, patented technology that protects and recovers devices in the event of ransomware attacks. The total purchase price of $3,400,000 consists of: (i) a $250,000 cash payment at closing; (ii) the $2,900,00 promissory note issued by Data443 in favor of Centurion; and (iii) $250,000 in the form of a contingent payment. As of the filings date of these financial statements, the acquisition is still not completed.
