As you correctly assess, there is an 800m AS limit now. It is NOT possible for everyone to convert at once.
But, if the reverse split goes through, there will be no more ceiling on the AS with a 250m limit, and EVERYONE can convert.
You say they will never do it. I respectfully disagree. They will do it.
Want to know how I know? Because I can read a financial statement. Upon capitalization of combining the 3 offices (NY, BOS and ATL) the company had 1 million shares wholly owned by Ray (72%) Great Eagle (15%) Front Four (5%) Lucosky (3%) Southridge (3%) and Briones (2%). Let that sink in. Those 5 OWNED 100% OF THE PRIVATE COMPANY.
When that private company completed a reverse merger with Innocap to go public to takeover the public share structure, they didn't all of the sudden GIVE 50% of their company to some new stranger former shareholders of Innocap. If anyone does not clearly understand that basic concept, they should not be trading stock. Sorry, but that is delusional to not understand those 6 own nearly 100% of the now public company.....with some breadcrumbs thrown to public idiots who don't understand anything and think they own some huge "public" percentage of this company. Pure fantasy!
The public hold a ticking bomb. Period. 6 people/entities owned nearly 100% until the company gave 25% to Trillium and 3a Capital for $3.8m in December. Trillium and 3a OWN preferred shares worth 25% of UNQL. So YES, if the company actually raises the AS to 250m after a reverse split, I foresee ALL of those 8 OWNERS converting their shares, dropping the public share price to it's real value, and then building from there.
The market cap will be the same. Their ownership will be fully accounted for. Retail sheep learn a very hard lesson about dilution, convertible preferred shares, and the dangers of not reading public filings.
But go ahead and hold long. Keep believing you own a waaayyyyy bigger fantasy percentage of UNQL than reality shows actually exists in the hands of Ray, Great Eagle, Front Four, Lucosky, Southridge, Briones, Trillium and 3a Capital. Ostrich away.
