We have a new website now too. I totally missed it.

All these things are sneaking up on me. News of a new product for kids released today. New website announced two days ago. And this filing snuck in last week, which I completely missed:

The Singing Machine Company, Inc. is offering 894,855 shares of common stock, $0.01 par value, at an assumed public offering price of $4.47 per share, based upon the closing price of our common stock on the OTCQX on April 28, 2022, in a firm commitment underwritten offering.


Our common stock is presently quoted on the OTCQX under the symbol “SMDM”. We have applied to have our common stock listed on the Nasdaq Capital Market under the symbol “MICS”. No assurance can be given that our application will be approved. If our application is not approved, we will not complete this offering.


On April 28, 2022, the last reported sale price of our common stock on the OTCQX was $4.47 per share, as adjusted to reflect a 1-for-30 reverse stock split of our common stock that we anticipate will be effected prior to the completion of this offering.. Unless otherwise indicated, all information in this prospectus, with the exception of our historical financial statements, assumes and gives effect to the contemplated reverse stock split.
