From what I see they are warrants to a bunch of people that bought at $2 and $3 but I think a small amount of the warrants where purchased. But it isn't dilution for say because those shares won't hit the trading market unless a share holder sells. But why would a shareholder buy warrants and ell them on a 52 week low It makes no sense. From my understanding the S3 is mainly for warrants of an IPO. These warrants seem to be the same warrants we will be given when turn on green does the reverse merger. Meaning 140 million shares will be distributed to us and 140 million warrants will be distributed to us. If we never buy the warrants they become void at the end of the time frame. As far as I can see the warrants issued to investors in 2020 and 2021. However it doesn't mean much because even though we will receive warrants to purchase more turn on green for instance they won't all be claimed. So basically the S3 is a public offering to the investors that already invested cash in a public offering. That is my take. I see nothing of major significance or anything to be worried about. I mean we will probably be in the 450 million OS range by time the 10Q comes but truthfully for me it is little high but I prefer stocks with about 300 million to 500 million shares as they aren't as volatile as stocks with very small OS. Now small OS is wonderful if the momo is there but with no momo a small OS can easily be manipulated down with little volume. Never the less I am glad they added liquidity here. Look at Berkshire Hathaway not completely the same but it is a good example they have 2.4 billion shares and it trades just fine. This is a holding company of course constantly building assets so as long as the cash is used for wealth building it only adds to the value. Which in my opinion that is what is happening. People are comparing this to an OTC stinky pink pump and dump but in my opinion they haven't done enough DD on what NILE really is and what they are doing. NILE
