On any buyout, the acquiring company does buy the shares. All shares. They are no longer in anyone's portfolio. They are typically replaced by some ratio of shares in the new company. Could be 1:1 or 3:1, 1:3. whatever the shareholders agree to.

The buyout has to be approved by the current shareholders first.
