Poison pills have been around for 40…and I would guess that thousands of US companies have adopted them.
However, the use of poison pills has waned in recent years. Many investors (although not necessarily a majority) consider poison pills a sign of weak corporate governance that does more to entrench management than it does to protects shareholder from a lowball buyout.
