The point is that the current outstanding SFIN shares will represent less than .3 of 1% of the equity in the newly capitalized company, so it remains to be seen what value the market will place on those shares, assuming the other 150 Million going to Bentley are all restricted and tied up. I have watched enough of these Reverse Merger deals into essentially worthless shells to know how it works, in particular when there is a RS and issuance of a huge block of new shares. No one ever brings significant amounts of capital, assets and businesses into a shell like this one and just gifts anything to the current shareholders.
