I believe that S-1 is the initial public offering if their stock gets approved to uplist to NASDAQ following the R/S. That's basically their IPO proceeds with the uplist and was designed to net them the proceeds to buy controlling interest in Asia Pacific Logistics and raise their total revenue an additional 400 million per year. The proceeds will also cover underwriting costs as well. Following the ipo and uplist it is believed they will then close the Asia Pacific deal and begin with the press release campaign to attract banks and institutional investors.
