HLTT(.30)...Varian Biopharma going public via SPK SPAC......

Possibly worth noting: HLTT currently owns 5.5% of privately-held Varian Biopharma. I think Varian is preparing to become a more visible company during 2022. It made what I think is its first ever public presentation for the investment/capital markets this week (at the Inflection Partners 2021 Virtual Conference).

The merger deal between Varian Biopharma and SPK (Nasdaq SPAC) is expected to close in Q2 2022. HLTT should own slightly more than 2.2% of the 11.1M shares of the post-merger company (a little over 246K shares).

The S-4 that SPK filed today confirms that privately-held Varian did in fact issue a little over 5.47% of its shares to HLTT......

Acquisition and Divestiture of Varian by Healthtech Solutions

On May 7, 2021, Healthtech Solutions, Inc. (“Healthtech”) acquired 99.83% of the outstanding capital stock of Varian through a share exchange. As a result, Varian became a 99.83%-owned subsidiary of Healthtech.

Effective November 9, 2021, Healthtech divested its ownership in Varian. In conjunction with this divestiture, Varian Bio issued 1,730,736 shares of common stock as settlement for $864,438 advanced from Healthtech to Varian Bio for operating expenses.
