On April 11, 2014, a variable rate convertible promissory note in the face amount of $65,000 (the
"Note") was issued by the Company to Beaufort Capital Partners, LLC. In December 2021, the Note
was assigned to Nosse Group LLC and then came to be held by Abra Prince. A Settlement Agreement
was subsequently signed between Abra Prince and the Company in full satisfaction of the
outstanding debt. In January 2022 the Note was converted, in accordance with the terms of the
Agreement, into 248,664,103 shares of the Company's common stock.
