The REG A is now public. It has been filed under the 1-A form designation. I have read through it. I really don't see anywhere that show the positive earnings you refer to in your post.
Sales are steady declining to practically nothing. It clearly shows declining revenue from 2019 to 2020. If you look at their 2021 quarterly statements, you will see it continues to go down.
The CEO never meets any of his deadlines. As you can see from the October shareholder letter, it was stated the deal would close on Dec. 31, 2021. Now this Reg A comes out 1 1/2 months after the Dec. 31 deadline. He has no funds to purchase any company. He needs this Reg A to be successful to raise the funds to do it.
If you read the Reg A carefully it is full of disclaimer everywhere.

The amounts and timing of our actual expenditures will depend upon numerous factors, including the amount of cash generated by our operations, the amount of competition and other operational factors. We may find it necessary or advisable to use portions of the proceeds from this offering for other purposes
Also have to love this section:
The Company has been investigating several acquisitions in the construction industry. All of the proposed targets are profitable and generate cash flow. The Company has entered into a non-binding letter of intent with one acquisition target, but has not entered into any definitive binding agreements to acquire any target. Even if we are successful in acquiring a target, no assurance can be given that we would be able to operate such company profitably. Present management has no experience in operating a construction company and the construction industry has its own set of risks.
