On August 14, 2021, B2Digital, Incorporated, a Delaware corporation (the “Company”), entered into a Securities Purchase Agreement with Geneva Roth Remark Holdings, Inc. (the “Lender”) pursuant to which the Company issued to the Lender a Convertible Promissory Note in the principal amount of $88,400 (the “Note”). On February 8, 2022, the Company paid the Note, including accrued and unpaid interest and prepayment penalties, in full.
