The Cliff notes would be Eddie Vakser apparently didn't pay Barry Mezey anything when Protek acquired SuperStar Management Group. Barry Mezey some 8 years later placed UCC filings against Vakser and Protek in Texas and Florida that share quite a story.

Fast Eddie whines about being defamed by Mezey and cries about all the hateful things he is saying. And though numerous press releases by Vakser claim he had acquired SuperStar Management Group and had all sorts of fantastic plans for it (sound familiar - a Vakser rinse and repeat,)Vakser insists that there was no contract. Vakser goes on to assert that Mezey threatened him with physical violence. Note that he never filed a police report.

Vakser also names the Texas Secretary of State in the suit apparently in hopes that they will remove the UCC filing / lien from their online records. The SOS predictably claimed sovereign immunity and pretty much told Vakser to jump in the lake.
