There's a reason why both these announcements were release at the same time. I view the private placement of 4MM shares at $2.50 (excluding warrants at $4.17 over 5 years) as a dilution of shareholder investment. Am I correct?

On the otherhand, the two acquisitions are a good fit into the expansion of the company's product line, and may generate immediate cash flow. However there is no mention of the companies or their revenue and profitability. There's a big difference in impact depending on the answers.

Because of the unanswered questions, I would tend to think the market will have a downward bias reaction.
