3. I was engaged by both Heng Ren Partners LLC and Sino Agro Food Inc. and
appointed to the board of Sino Argo Food Inc. (“SIAF”) as an independent director and the head of SIAF’s “Internal Control and Audit Committee” on December 1, 2020.

4. As of the date of this declaration, I have not been given SIAF’s financials or any access to SIAF’s internal financial information. I have only seen the unaudited financial reports in its 10Q and 10K forms filed with the SEC

....Mr. Solomon Lee has managed the business at his sole discretion with no participation or consultation with me. There have been no meetings of the board of directors, and no annual meeting has occurred.
