6. Indeed, Defendant Lee has continued to conceal from shareholders the Company’s actual financial condition. For a year after the execution of the Settlement, Defendants failed to file financials. Then, after being threatened with suit, Defendants filed unaudited financials for
fiscal year 2020 and the second quarter of 2021, containing materially false and misleading omissions, including that the Company’s “crown jewel” asset is in bankruptcy.
