Yes, when there are illegal actions taking place which involve the sale of your company’s stock, and those being investigated use as their defense claims about your company’s actions, then that investigation is going to be “material”. Your company is involved in the investigation at that point. But that does not mean your company is the SUBJECT of that investigation. In fact, I would venture to say that being the subject of an investigation is a material event that would have to be clearly stated.

Again, two explanations for the statement about CytoDyn being told the subpoenas should not be construed as meaning the company did anything wrong:

1. CytoDyn lied on an official, required document in black and white and in a way that would be obvious to the very same agency that would, in fact, supposedly be investigating them.

2. It’s true.
